The Commercial and Real Estate Practice Group focuses on three primary areas:
Senior Attorneys in the Group regularly represent corporations, limited liability companies, partnerships and individuals in corporate formation and organization, the purchase, leasing and sale of businesses and business assets, the purchase and sale of real property, contracts and contract disputes, the defense of overtime, sexual harassment and wrongful termination claims, including class action lawsuits and claims before the labor board. Litigation matters regularly include general contract disputes as well as matters related to corporate governance, claimed ultra-virus activities and breach of duty.
The Group acts as an outside advisory counsel to clients that do not have in-house counsel on such areas as problem loans and employment on a flat monthly fee basis and provides discounts on hourly fees to clients who utilize this service. The Group regularly represents clients in the financial services area including regulated institutions, private lenders, brokers, investors and servicers and sub-servicers in all aspects of commercial, real estate and business lending including SBA loans. The Group’s services include transactional matters such as loan originations, portfolio and loan sales and purchase agreements, servicing agreements and loan modifications, litigation and workouts, including collections, foreclosure of both real and personal property collateral, defense litigation, challenges to foreclosures, fraud claims, title disputes, insurance and bond claims, provisional remedies, claim and delivery actions and chapter 11 bankruptcies and adversary complaints. Attorneys in the Group have assisted clients in negotiating and documenting purchase and sale agreements, governmental tax abatements, franchise agreements, construction and construction management agreements, engineering and architectural contracts, leases, ground leases and complex highly structured construction, bridge and permanent financing and equity participations as well as litigation and arbitration of disputes ranging from indemnity and contribution claims, disputes over contract performance and interpretation, mechanics lien claims, specific performance claims and construction defect claims.
